限制型股票 按淨值課稅

行政院昨（14）日火速敲定產創條例增訂防挖角條款，未來上市櫃或興櫃公司發行限制型股票給公司發展有關鍵影響之特定員工，原則按取得每股淨值課稅。

另增訂但書，在股票可處分日時，若實價（即市價）低於淨值，可按可處分日之實價課稅，如此一來大大簡化課稅行政程序。負責提案藍委李貴敏表示，若朝野協商順利可望排入今日議案討論。

負責協調增加留才工具的行政院政委蔡玉玲，昨天與財政部就產創條例增訂防挖角條款敲定內容，政院擬在19之1有關五項獎酬工具條文中，增訂一項企業留才攬才條款。

依據新增訂條文，凡上市櫃或興櫃企業發行限制員工權利新股，一經申請核定，發給對公司發展有關鍵影響之特定員工，在符合既得條件且持有股票滿二年以上，應按取得股票日每股淨值計算所得稅，並在閉鎖期滿後可處分日課稅。

不過，政院為免除特定員工持有期間股價變動之風險，增訂但書，可處分日公司的實價若低於取得股票日之每股淨值者，則按可處分之實價計算所得稅。

據悉，政院上周和財經部會協調時，原本擬開放企業二擇一，但如此企業在可處分日時仍得申請，增加困擾也增加行政稽徵成本，因此決大幅簡化行政流程，以增訂但書方式解套。

但所謂「對公司發展有關鍵影響之特定員工」，在法條中明訂排除兼任公司經理人之董事長及董監事，以免引發爭議。而相關特定員工定義、範疇、既得條件、申請程序、申請期限、可處分日、每股淨值等細節，均授權經濟部會同財政部共同訂定。

財政部次長吳當傑表示，未來企業決定發放限制型股票時，必須提出發行計畫向經濟部申請是否符合「對公司發展有關鍵影響之特定員工」要件，經審核通過案件即按淨值課稅。

吳當傑說，俟閉鎖期屆滿可處分日時，若市價低於淨值，特定員工個人在報稅時，採市價計算所得稅即可，企業就不必再申請，如此可簡化行政程序。

提案立委李貴敏說，這項條文對台灣產業發展，尤其半導體留才有助益，在野黨不應為反對而杯葛，若今天朝野協商同意將產創條例列最優先法案，增訂留才條款款就有機會排入今日院會議程討論。
